Janus Henderson Investors Head of Distribution and TA Oversight - Luxembourg in Luxembourg

The department

Janus Henderson operates an outsourced model in partnership with our Third-Party Administrators (TPA). The primary focus of the Operations team is the oversight and management of the TPAs as well as supporting internal clients (for example the Distribution and Investment teams). Operations also support numerous projects and operational changes to maintain best practice operational processes.

Henderson Management S.A. (“HMSA”) is the appointed UCITS Management Company for JHI Luxembourg and Irish domiciled funds and AIFM for several EU and Jersey domiciled alternative funds. The Company is regulated by the Commission de Surveillance du Secteur Financier (“CSSF”).

Overview of the role

The primary focus of the role will be as Conducting Officer of HMSA, with responsibility for: marketing/distribution, Transfer Agency oversight and branches and complaint handling. The independent oversight, challenge and governance duties include day to day fund activities, distribution activities and the oversight of Transfer Agency outsourced activities and liaison with and reporting to the Boards of the Management Company and of the Funds.

The TA oversight will be performed in line with local regulations and in line with the Global Outsourcing Policy and TPA Risk and Governance framework. The role will be performed within Janus Henderson Investors existing framework of oversight, governance and relationship management and will monitor the delivery of services against agreed service levels and KPI’s.

This role is located permanently in our Luxembourg office, and will form a core part of the local team. The role will have a matrix reporting line to the Head of Fund Operations EMEA and APAC.

Duties and responsibilities

You will:

Conducting Officer:

  • Conducting Officer (CO) of HMSA, responsible for our Luxembourg and Irish Fund Ranges (for TA oversight, Marketing/Distribution, claims/complaints handling and branches)

  • Responsible for the monitoring and oversight of the approaches and strategies approved by the relevant Boards and reporting on this through management information to these Boards. In particular, the successful candidate should:

  • Understand the operational obligations of AIFM and UCITS Management Companies

  • Demonstrate expertise that enables the review of information received and its interrogation to identify actual or potential issues

  • Have a role in ensuring policies and procedures related to operational aspects are complied with on an on-going basis and are reviewed periodically

    Operations Oversight

  • Manage one team member overseeing the Transfer Agency services, including service reviewing and overseeing service standards to ensure excellent client service

  • Manage any escalated issues in relation to the Transfer Agents including complaints and incidents

  • Work with the wider team to ensure standards meet local requirements, are best practice and standardized across product types

  • Work closely with the TA client service and relationship management team

  • Manage escalated queries from internal and external parties

  • Act as the FATCA/CRS Reporting Officer, ensuring all related reporting is filed in a timely and accurate manner

  • Responsible for claim and complaint handling

    Distribution Oversight

  • Manage one team member overseeing Distribution Oversight

  • Play a lead role in the management of the Janus Henderson Distributor Due Diligence (“DDD”) process, focused on the Luxembourg and Irish funds.

  • Maintain (and update if necessary) the risk framework in relation to distribution activity for Luxembourg and Ireland funds

  • Undertake appropriate risk assessment of new distributors and distributor agreements

  • Ensure appropriate KYD activity has taken place

  • Act as an SME on DDD for regulation, regulator opinion and direction of travel, asset manager peer approaches and 3rd party vendor solutions

  • Oversee the various Management Company branches ensuring that they operate efficiently and within their regulatory permissions

  • Undertake appropriate assessment of the marketing activities of the funds including website and related distribution collateral


  • Responsible for locally operated operational procedures and controls in relation to TA activity

  • Adhere to TCF principles and complete relevant reporting

  • Work closely within the TPA Governance framework and provide TA Governance Reporting and operational MI

  • Carry out additional duties as assigned

    Technical skills and qualifications

  • Good working knowledge of investment funds and products and their distribution

  • Excellent knowledge of Luxembourg and Irish Regulatory Framework, including oversight requirements relevant to the role specification

  • Detailed knowledge of applicable UCITS and AIFM regulation

  • Strong background in risk frameworks, controls and problem solving

  • Good general IT skills including PowerPoint, Excel and database used for analysis and reporting purposes

  • Graduate

    Compliance requirements
